Yogithot Studio
Effective Date: June 13th , 2025

Welcome to Yogithot Studio! By accessing or using our website, booking classes, or attending sessions in person or online, you agree to be bound by these Terms and Conditions of Service. Please read them carefully.

This agreement is subject to binding arbitration and a waiver of class action rights that may limit your rights to bring an action in court and have disputes decided by a judge or jury as detailed below. 

  1. Scope of Agreement

YogiThot Studio, LLC (“YogiThot Studio”, “us”, “we” or “our”) provides classes which focus on physical and mental wellbeing for our students through group fitness instruction via our website “www.yogithot.com” (“Site”), through our mobile applications (accessible through the iOS App Store or Android through the Google Play Store)(“App”), and at our brick-and-mortar studio (collectively, with any other services, content, features or products that we provide, hereinafter referred to as the “Services”.).  

These Terms and Conditions (“Terms”) govern your use of all Services provided by Yogithot Studio through its Site and App, including studio classes, online classes, workshops, and events. By participating in any Yogithot Studio Services, you agree to these Terms. These Terms are an agreement between you and YogiThot Studio that set forth the legally binding conditions for your use of the Services. By signing these Terms or using our Services, you agree that such use is legally sufficient consideration under these Terms.   

These Terms contain provisions that limit our liability to you (any reference to you shall also include any customer classified as a minor whose guardian must accept and ensure compliance with these Terms on their behalf).

By accessing or using our Services in any manner, including, but not limited to, visiting our Site, downloading and/or using our App, attending classes at our brick-and-mortar or through our online portal, you acknowledge that you have read and understood the entirety of our Terms and Conditions of Service and you agree to be bound by these Terms. You are only authorized to use the Services if you agree to abide by all applicable laws and to the Terms. If you do not agree with (or cannot comply with) these Terms, you should leave the Site or App and discontinue use of the Services immediately. 

We have also adopted a Privacy Policy that you should refer to in order to fully understand how we use and collect information and to learn about our privacy practices.  

While these Terms apply to you anytime you are using our Services, certain provisions will only apply to you when you are taking part in one of our exercise classes, either at our brick-and-mortar studio or online (our “Classes”). For these terms please see our Studio Etiquette and Safety section below. 

  1. Eligibility

You must be at least 18 years old to attend classes at Yogithot Studio. If you are under 18, a parent or guardian must sign a waiver on your behalf. Waiver can be found here.

  1. Class Bookings and Payments
  • In order to participate in YogiThot Studio classes, you must reserve your spot in advance via our Site or App. 
  • We accept major credit cards and payments via our secure third-party payment processor. YogiThot Studio is not responsible for any bank overdraft fees that may occur. 
  • Class passes, packages, and memberships are not eligible for transfer or exchange once purchased. 
  • Class passes and packages must be redeemed prior to the expiration date which accompanies the particular pass or package.
  1. Cancellation and Refund Policy 

Class Cancellations: Due to a limited number of spaces available, you can change or cancel your class up to four (4) hours before the class start time to avoid losing a class credit. 

Workshops/Events: Cancellations must be made six (6) hours in advance for a full refund. There are no refunds for late cancellations or no-shows. 

Class Packs: Class packs are non-refundable and non-transferable. 

Memberships: Memberships are billed monthly on the same calendar day as the original purchase date. You are responsible to keep an active credit card on file. To cancel a membership, a minimum of 30 days’ advance written notice prior to the next billing date is required. For memberships purchased on or after June 1, 2025, you are subject to your agreement period as noted on your contract, either six (6) or twelve (12) months. If cancellation occurs before the completion of this agreement term, the remaining balance for the full term will become due within 30 days of the cancellation date.

  1. Studio Etiquette and Safety
  • You must be physically present 5 minutes prior to the start of your scheduled class or your spot may be given to a waitlisted client. If it is your first class, it is recommended to arrive 10 minutes prior to the start of class. Late arrivals may not be permitted.
  • Respect the space and others—silence phones, maintain hygiene, and follow instructor guidance.
  • If you have any injuries, medical conditions, or are pregnant, you agree to inform your instructor prior to class.
  • Yogithot Studio reserves the right to refuse service to anyone who does not follow studio policies or behaves inappropriately.
  1. Health Disclaimer and Liability Waiver

Services at YogiThot Studio involve physical activity and carry a risk of injury. By agreeing to these Terms, whether online, at the YogiThot Studio brick-and-mortar, or using YogiThot Studio equipment and/or by using these Services, you acknowledge and agree:

  • There are certain inherent risks and dangers in the nature of any fitness class, including those offered by YogiThot Studio.
  • You have voluntarily chosen to participate in the yoga and fitness activities offered by YogiThot Studio;
  • No physician or health care provider has ever informed you that you have a heart condition and/or that you should not partake in the type of physical activities inherent in our Services.
  • You have no ailment or injury that could be aggravated or made worse by taking part in our services; and 
  • If you are pregnant, you have consulted a physician or health care provider that has approved your use of our services. 
  • You have no known light sensitivity, epilepsy, or seizure-related disorder that could be aggravated by participation.
  • You have no known allergies or sensitivities to scents, essential oils, or fragrances that may be present in the studio environment.

YOU ASSUME ALL RISKS ASSOCIATED WITH PHYSICAL ACTIVITY PROVIDED BY YOGITHOT STUDIO. YOU FULLY RELEASE AND HOLD HARMLESS FOR ANY RESPONSIBILITY, COST, OR DAMAGES, YOGITHOT STUDIO AND ITS ENTITIES, INSTRUCTORS, MEMBERS, EMPLOYEES, AGENTS, AND INDEPENDENT CONTRACTORS FOR ANY INJURY, ILLNESS, HARM, OR LOSS YOU MAY SUFFER, AS A RESULT OF PARTICIPATION IN ANY YOGITHOT STUDIO ACTIVITIES OR SERVICES. You must sign and agree to these Terms before you take part in our Services, including classes offered at our brick-and-mortar studio or those offered online.  

  1. Explicit Music Liability Waiver 

Here at YogiThot Studio we are all about doing things that are authentic to you. For us, that means some of our classes may feature music that includes explicit language or mature themes, reflecting the personal tastes of our founders (yes, that includes artists like Kodak Black and Gucci Mane!).

By participating in classes or other services at YogiThot Studio, you acknowledge and accept that you may be exposed to music containing profanity or other potentially offensive content. You hereby waive any and all claims or causes of action arising from such exposure, including but not limited to claims for emotional distress, offense, or any perceived harm related to explicit or profane music played during your participation in YogiThot Studio offerings. 

  1. Intellectual Property

Trademarks: All trademarks, service marks, logos, and trade names displayed on our website and in our studio are the property of Yogithot Studio or their respective owners. Unauthorized use of these marks is prohibited. 

User-Generated Content: By posting or submitting content (such as photos, videos, or comments) on our website or social media platforms, you grant Yogithot Studio a non-exclusive, royalty-free, perpetual, and worldwide license to use, display, and distribute that content for promotional and marketing purposes. 

Content Removal: Yogithot Studio reserves the right to remove any user-generated content that violates these terms, is deemed inappropriate, or infringes upon the rights of others. 

  1. Terms of Service Regarding Promotional Messaging Program

By providing us your telephone number, you consent and agree to receive recurring SMS/text messages to your mobile phone on behalf of YogiThot Studio (“Promotional Messaging Program”), even if your mobile phone number is registered on any state or federal Do Not Call list.  

Our Promotional Messaging Program may include updates, alerts, information about your purchases and account with YogiThot Studio, pricing specials, cart reminders, and other marketing offers. 

You understand that you do not have to sign up for our Promotional Messaging Program in order to make any purchases or participate in any YogiThot Studio Services. Your participation in our Promotional Messaging Program is entirely voluntary. 

We do not charge a fee for participation in the Promotional Messaging Program, but you understand you are responsible for all charges and fees associated with our Promotional Messaging Program assessed by your wireless provider. Our Promotional Messaging Program frequency varies. Message and data rates may apply. Check out your mobile plan and contact your wireless provider for more details. You explicitly disclaim the responsibility of YogiThot Studio for all charges related to your SMS/text messages from participation in our Promotional Messaging Program. 

You may opt out of our Promotional Messaging Program at any time. Text the single keyword command STOP to (954)592-824 or click the unsubscribe link (where available) in any (email) to cancel. You will receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device from us, unless initiated by you.

  1. Legal Disputes and Arbitration Agreement 

Initial Dispute Resolution: We are available by email at dearyogithot@gmail.com to address any concerns you may have regarding your use of our Services. Our goal is to exceed your expectations. We want you to know we are always here to help and improve our Services! Therefore, you (and YogiThot Studio) agree to use best efforts to settle any dispute, claim, question, or disagreement directly with us through good faith negotiations.. This agreement shall be a precondition to either you or YogiThot Studio initiating a lawsuit or arbitration proceedings.  

Agreement to Binding Arbitration: If you and YogiThot Studio do not reach an agreed upon solution to your concern within ninety (90) days from the time the Initial Dispute Resolution is pursued pursuant to the immediately preceding paragraph, then either you or YogiThot Studio may initiate binding arbitration. By accepting these Terms, you and YogiThot Studio agree to submit any and all claims arising out of or relating to the Terms (including their formation, performance and breach, including breach of this agreement to arbitration) or your use of our Services (“Claims”) to binding arbitration (“Arbitration Agreement”). The Federal Arbitration Act (Title 9 of the United States Code) shall govern the interpretation and enforcement of this section. Arbitration shall be held either before JAMS ADR (www.jamsadr.com) or the American Arbitration Association (www.adr.org). If you initiate arbitration, you shall have the choice between these two arbitration forums; if YogiThot Studio initiates arbitration, we shall have the choice as between these two arbitration forums. 

YOGITHOT STUDIO AND YOU EACH AGREE THAT ANY AND ALL CLAIMS WHICH ARISE AFTER YOU ENTER INTO THESE TERMS AND CONDITIONS WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION RATHER THAN IN COURT BY A JUDGE OR JURY, IN ACCORDANCE WITH THIS ARBITRATION AGREEMENT.  

How will arbitration work? We’re glad you asked us! The last thing we would want would be for you to be left to guess. Either you or YogiThot Studio may initiate arbitration proceedings. The arbitration will be conducted before a single arbitrator. The arbitration will be an individual arbitration, and shall in no event be commenced as a representative or class arbitration. More on that in Section 10 below. If required for enforceability of this Arbitration Agreement under the Federal Arbitration Act, YogiThot Studio will pay all arbitrator’s costs and expenses. If not, those costs will be paid as specified in the current rules governing arbitration, which may be accessed at www.adr.org/consumer or www.jamsadr.com, depending on which forum is chosen for arbitration. 

Where will arbitration be held? In the case of face-to-face proceedings, a location which is reasonably convenient to both you and us, with due consideration of ability to travel and other pertinent circumstances, shall be agreed upon. If such a location is unable to be agreed upon, it shall be chosen by the arbitrator or shall occur digitally. 

  1. Class Action Waiver  

To the maximum extent permitted by applicable law, for any Claim not subject to the requirement to the Arbitration Agreement, you and we will only bring Claims in an individual capacity and shall not seek to bring, join, or participate in any class or representative action, collective or class-wide arbitration, or any other action where another individual or entity acts in a representative capacity. You further agree that you shall not consolidate or combine individual proceedings regarding Claims or permit another to do so without the express consent of you and Yogithot Studio. For avoidance of doubt, to the fullest extent allowed by applicable law, this Class Action Waiver applies even if a court of competent jurisdiction finds that a Claim is not subject to mandatory arbitration.  

  1. Limitations of Liability

To the fullest extent permitted by law, Yogithot Studio shall not be liable for any direct, indirect, incidental, special, or consequential damages (“Damages”) resulting from the use of our Site, our App, or our Services. Additionally and to the fullest extent permitted by law, YogiThot Studio shall not be liable for any Damages resulting from your purchase or registration of our Services, your rights to cancel our Services, your purchase of retail merchandise, your communication with YogiThot Studio, and your attendance at our Services. These Damages include any lost profits or revenues, business interruption, loss of programs, and any loss of data. These Damages also include any claims waived by you previously in this Agreement even if we expressly advised of the possibility of such damage. 

  1. Entire Agreement, Severability, and Waiver 

These Terms, together with any other applicable legal agreements between you and YogiThot Studio, shall constitute the entire agreement concerning our Services and supersedes all prior terms, agreements, discussions, and writings, regarding the Services. 

No waiver of any singular provision or section shall be deemed a further waiver of any other provision or section of these Terms. Our failure to assert any right under the Terms shall not constitute a waiver of such right under these Terms. 

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

  1. Indemnification 

You agree to indemnify, defend, and hold harmless Yogithot Studio, its affiliates, officers, agents, employees, and licensors from and against any claims, actions, demands, liabilities, and settlements, including without limitation reasonable legal and accounting fees, resulting from:

  • Your use of our Services.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  1. Updates to Terms

We reserve the right to modify or update these Terms at any time to ensure we can fulfill our obligations to you as set out under these Terms. Any changes will be posted on our website with an updated effective date. When changes are made to these Terms they will become effective immediately when published on our Site and App unless otherwise noted. We will use reasonable efforts to notify you of any such substantial or material changes. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
